Commercial contracts

Customer, vendor and services terms

Agreements should identify obligations, responsibilities, deliverables and performance standards. Clearstone prepares and reviews individual contracts, confidentiality provisions and standard terms used across the business.

Payment terms should address disputed charges, approval of changes and which terms govern when a purchase order conflicts with the signed agreement.

Liability, exit and transfer

Indemnification, liability caps, insurance requirements and exclusions allocate the financial consequences of a claim. These provisions are read together and against the obligations the business can reasonably perform.

Renewal periods, notice deadlines, termination rights and post-termination duties determine how readily the company can change providers or end a relationship. Assignment and consent provisions also matter when ownership changes or a business is sold.

Document review and negotiation

Work includes new agreements, negotiated revisions and recurring contract terms. Review addresses the obligations the business will undertake and the rights it needs if performance changes or the relationship ends.

Technology and licensing agreements also address permitted use, fees, data access and transition rights.
